Services & Proposals

We provide digital marketing services including SEO, PPC, social media management, web design, and content marketing. Specific services, deliverables, timelines, and pricing will be outlined in a separate proposal or service agreement.

Payment & Invoices

Services are billed monthly in advance unless otherwise agreed
Payment is due within 15 days of invoice date
Late payments may incur a 1.5% monthly interest charge
Ad spend (for PPC services) is billed separately through your own advertising accounts
All fees are non-refundable unless otherwise stated in writing

Intellectual Property

Client Content: You retain ownership of all content, materials, and assets you provide to us.

Work Product: Upon full payment, you own the final deliverables we create for you (e.g., website designs, content, graphics). We retain the right to use work samples in our portfolio.

Our Property: We retain ownership of our methodologies, processes, tools, and any pre-existing materials.

Acceptable Use

You agree not to:

Use our services for any illegal or unauthorized purpose
Violate any laws, regulations, or third-party rights
Interfere with or disrupt our services or servers
Attempt to gain unauthorized access to our systems

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of our relationship. This obligation survives termination of services.

Disclaimers & Limitation of Liability

No Guarantees: While we strive for excellent results, we cannot guarantee specific outcomes such as search rankings, traffic levels, or revenue increases. Digital marketing results depend on many factors outside our control.

Service "As Is": Our services are provided "as is" without warranties of any kind, express or implied.

Limitation: Our total liability for any claim arising from our services shall not exceed the amount you paid us in the 12 months preceding the claim.

Termination

Either party may terminate services with 30 days' written notice
We may terminate immediately for non-payment or breach of these Terms
Upon termination, you remain responsible for payment of services rendered
We will provide a final report and transfer of assets as outlined in your service agreement

Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Miami-Dade County, Florida.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or website notice. Continued use of our services after changes constitutes acceptance.
